Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and RoomSnap ("we," "our," or "us") governing your access to and use of the RoomSnap web application and services (collectively, the "Service"). By creating an account, accessing, or using the Service, you agree to be bound by these Terms and our Privacy Policy.

IF YOU DO NOT AGREE TO THESE TERMS, YOU MUST NOT ACCESS OR USE THE SERVICE.

2. Eligibility

You must meet the following requirements to use the Service:

  • You are at least 18 years old (or the age of majority in your jurisdiction)
  • You have the legal capacity to enter into binding contracts
  • You are not prohibited from using the Service under applicable laws
  • You have not been previously suspended or banned from the Service

By using the Service, you represent and warrant that you meet these eligibility requirements.

3. Account Registration and Security

To access certain features, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Notify us immediately of any unauthorized access or security breach
  • Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that provide false information or violate these Terms.

4. Free Trial and Subscription

4.1 Free Trial

New users receive a 14-day free trial period starting from account creation. During the trial, you have full access to the Service. At the end of the trial period, your access will be suspended until you subscribe to a paid plan.

4.2 Paid Subscription

After the trial period, continued use of the Service requires a paid subscription. By subscribing, you agree to:

  • Pay the subscription fees as displayed at the time of purchase
  • Automatic recurring billing on a monthly or annual basis (as selected)
  • Provide valid payment information and authorize us to charge your payment method

4.3 Billing and Payment

  • All fees are in U.S. Dollars unless otherwise stated
  • Subscription fees are billed in advance on a recurring basis
  • You are responsible for all applicable taxes
  • Failed payments may result in service suspension or termination
  • We reserve the right to change pricing with 30 days' notice

4.4 Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. We do not provide refunds for partial subscription periods, except as required by law. Upon cancellation, you will retain access until the end of your paid period, after which your account will be downgraded or suspended.

5. Acceptable Use Policy

You agree NOT to:

  • Violate any applicable laws, regulations, or third-party rights
  • Upload or transmit viruses, malware, or other harmful code
  • Attempt to gain unauthorized access to the Service or other users' accounts
  • Interfere with or disrupt the Service or servers
  • Use automated systems (bots, scrapers) without our written permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Remove or modify any proprietary notices or labels
  • Use the Service for any illegal, fraudulent, or abusive purpose
  • Impersonate any person or entity or misrepresent your affiliation
  • Collect or harvest information about other users without consent
  • Upload content that is defamatory, obscene, harassing, or infringes intellectual property rights

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without refund.

6. User Content and Intellectual Property

6.1 Your Content

You retain ownership of all content you upload, create, or submit through the Service ("User Content"), including project details, images, notes, and selections. By uploading User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, reproduce, modify, and display your User Content solely for the purpose of providing and improving the Service.

6.2 Content Responsibility

You are solely responsible for your User Content and represent that:

  • You own or have the necessary rights to upload and use the content
  • Your content does not violate any laws or third-party rights
  • Your content does not contain viruses or malicious code

6.3 Our Intellectual Property

The Service, including its design, features, software, trademarks, and content (excluding User Content), is owned by RoomSnap and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

7. Data Backup and Loss

YOU ARE SOLELY RESPONSIBLE FOR BACKING UP YOUR USER CONTENT.

While we implement reasonable measures to protect your data, we do not guarantee that data loss will not occur due to technical failures, security breaches, or other unforeseen events. WE ARE NOT LIABLE FOR ANY LOSS, CORRUPTION, OR UNAUTHORIZED ACCESS TO YOUR USER CONTENT. We strongly recommend maintaining your own backups of important data.

8. Service Availability and Modifications

We strive to provide reliable service but do not guarantee that the Service will be available at all times or free from errors. We reserve the right to:

  • Modify, suspend, or discontinue any part of the Service at any time
  • Perform scheduled or emergency maintenance
  • Change features, functionality, or pricing with reasonable notice
  • Impose limits on usage or storage

We are not liable for any interruption, modification, or discontinuation of the Service.

9. Third-Party Services and Links

The Service may integrate with or link to third-party services (e.g., Stripe for payments, OAuth providers for authentication). We are not responsible for the availability, accuracy, or content of these third-party services. Your use of third-party services is governed by their respective terms and privacy policies.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, your subscription will not renew, and your access will end at the conclusion of your current billing period.

10.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice, if:

  • You violate these Terms or our Acceptable Use Policy
  • Your account remains inactive for an extended period
  • We are required to do so by law
  • Continued provision of the Service is no longer commercially viable

10.3 Effect of Termination

Upon termination, your right to access the Service ceases immediately. We may delete your User Content after a reasonable grace period. WE ARE NOT LIABLE FOR ANY LOSS OF DATA OR CONTENT RESULTING FROM TERMINATION.

11. Disclaimers of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, or non-infringement
  • Warranties that the Service will be uninterrupted, secure, or error-free
  • Warranties regarding the accuracy, reliability, or completeness of content
  • Warranties that defects will be corrected

YOU USE THE SERVICE AT YOUR OWN RISK. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • IN NO EVENT SHALL ROOMSNAP, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:
    • Loss of profits, revenue, data, or use
    • Loss of or damage to property
    • Business interruption
    • Personal injury or emotional distress
  • OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).
  • THESE LIMITATIONS APPLY REGARDLESS OF THE LEGAL THEORY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  • SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Indemnification

You agree to indemnify, defend, and hold harmless RoomSnap, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any laws or third-party rights
  • Your User Content
  • Any dispute between you and another user

14. Dispute Resolution and Governing Law

14.1 Governing Law

These Terms and any disputes arising out of or related to them shall be governed by and construed in accordance with the laws of the State of Oklahoma, United States, without regard to its conflict of law principles.

14.2 Jurisdiction and Venue

You agree that any legal action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in Oklahoma, and you consent to the personal jurisdiction of such courts.

14.3 Informal Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally by sending a written notice describing the nature and basis of the claim. We will attempt to resolve the dispute in good faith within 60 days.

14.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and RoomSnap regarding the Service and supersede all prior agreements and understandings.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

15.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, riots, natural disasters, or internet/telecommunications failures.

15.6 Survival

Sections that by their nature should survive termination (including disclaimers, limitations of liability, indemnification, and dispute resolution) will survive the termination of these Terms.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on this page with a new "Last Updated" date
  • Sending an email notification to the address associated with your account
  • Displaying a prominent notice on the Service

Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance of the changes. If you do not agree to the updated Terms, you must discontinue use of the Service.
